In case of differences between the Dutch and English version, the Dutch version shall prevail.
1. Definitions
- MiYou: The general partnership MiYou Software, registered with the Dutch Chamber of Commerce (KVK) under number 98375652, service provider in the field of software development, websites and digital solutions.
- Client: The natural person or legal entity that commissions MiYou to perform work.
- Agreement: The arrangement between MiYou and the client for the delivery of services or products.
2. Applicability
- These general terms and conditions apply to all quotations, assignments and agreements between MiYou and the client.
- Deviations from these conditions are only valid if they have been agreed upon in writing.
- By agreeing to a quotation or agreement, the client declares that they have read and accepted these conditions.
3. Working method and formation of the agreement
- When a client is interested in a service from MiYou, an initial non-binding conversation takes place in which wishes and functionalities are discussed.
- Based on this, MiYou may create non-binding designs or concepts to visualize the desired solution.
- If the client agrees with the design and functionalities, MiYou will make an estimate of the hours and a price quotation.
- This quotation will be sent to the client together with an agreement.
- The agreement is concluded as soon as the client returns the signed contract.
4. Payment
- After signing the agreement, the client will receive an invoice for 50% of the agreed amount.
- Work will only start after this first invoice has been fully paid.
- Once the agreed functionalities and the design have been realized, the client will receive a second invoice for the remaining 50% of the amount.
- Invoices must be paid within 14 days after the invoice date, unless agreed otherwise.
- MiYou reserves the right to only put a website or application live after all outstanding invoices have been paid.
5. Late payment
- If an invoice is not paid within the stated payment term, the client will automatically be in default.
- MiYou reserves the right to charge an administration fee of €5 per outstanding invoice.
- Additionally, MiYou may charge interest of 1.5% per month on the outstanding amount.
- If payment remains outstanding, MiYou may suspend work until the outstanding invoices have been paid.
- If an invoice remains unpaid for more than 30 days, MiYou reserves the right to temporarily restrict or suspend hosting, websites or other services until payment has been received.
6. Changes and additional work
- If the client has additional wishes or changes during or after the project, these will be considered a new assignment.
- For such adjustments, a new estimate of hours and price quotation will be made.
- Work will only be carried out after written agreement has been reached again.
7. Hourly rate and additional work
- Work carried out by MiYou is performed at a standard hourly rate of €30 excluding 21% VAT, unless agreed otherwise in writing.
- Before the start of a project, MiYou will provide an estimate of the number of hours required based on the requested functionalities.
- This hour estimate will be discussed with the client in advance and work will only start after approval.
- If MiYou completes the work faster than the estimated hours, only the actual hours worked will be invoiced.
- If during the project it becomes clear that the work may exceed the original hour estimate, MiYou will inform the client in advance.
- If the client agrees to continue the work, the first 20% of additional hours above the original estimate will be charged at a reduced rate of €15 per hour excluding VAT.
- Any hours beyond this 20% will not be charged and will be covered by MiYou.
8. Hosting and technical infrastructure
- MiYou may arrange hosting for the client via external hosting providers.
- Hosting costs are invoiced monthly at the rate applicable at that time.
- MiYou will make reasonable efforts to keep the website online and technically functional.

- Because hosting is provided through external parties, MiYou cannot be held responsible for malfunctions, downtime or technical problems with these providers.
10. Maintenance and security
- MiYou will make reasonable efforts to keep websites secure and technically up to date.
- Small technical updates or security measures may be part of the hosting package.
- For larger changes or new functionalities, a separate hour estimate will be made.
11. Liability
- MiYou is not liable for indirect damage, consequential damage, lost profit or missed income.
- If a software error in a specific functionality causes damage, MiYou's liability is limited to the amount that was charged for that specific functionality or assignment.
12. Force majeure
MiYou is not liable for delays or damage caused by circumstances beyond its control, including but not limited to failures at hosting providers, internet problems, cyber attacks, government measures or other external technical problems.
13. Intellectual property
- All source code, designs and developed software remain the property of MiYou until full payment has been received.
- After full payment, the client obtains the right to use the website or software for the agreed purpose.
- MiYou retains the right to reuse generic components, frameworks or techniques in other projects.
14. Content responsibility
- The client is responsible for all provided content, including texts, images, logos and other materials.
- The client guarantees that these materials do not infringe copyrights or other rights of third parties.
- MiYou cannot be held liable for claims or damages resulting from content provided by the client.
15. Portfolio right
MiYou retains the right to use delivered projects for promotional purposes, such as showing the website in the portfolio, on its own website or on social media.
16. Termination and transfer
- If the client decides to terminate the collaboration, MiYou can provide support in moving the website to another provider.
- If the client does not wish to use this, MiYou will make the source code of the website available, provided all outstanding invoices have been paid.
17. Privacy
MiYou processes personal data only in accordance with the applicable privacy legislation and the privacy statement on the website.
18. Modification of the conditions
MiYou reserves the right to change these general terms and conditions. The most current version is always available on the MiYou website.
